New approaches in Europe about corporate group law

Abstract

The effort to establish common rules on the EU basis for corporate groups has been ongoing since the 1970s. The lack of EU legislation governing cross-border corporate groups resulted in high agency costs as well as bad governance. In order to solve these problems the Commission stated in its Action Plan 2012 to take measures in order to establish common rules applicable to corporate groups operating EU wide. Following the Action Plan several expert groups, (such as ICLEG, FECG, ECLE- EMCA, CDJ) have taken the initiative to suggest draft legislation with regards to the substantive content of the future legal measurements. / Şirketler topluluğu hukukuna ilişkin AB ekseninde ortak kurallar oluşturma çabası 1970 yıllardan beri devam etmektedir. Sınıraşan topluluklara uygulanacak ortak hükümlerin olmayışı bu tür toplulukların yönetimini oldukça güçleştirmektedir. Komisyon’un 2012 tarihli Eylem Planı ile bu doğrultuda bir düzenlemeye gidileceğini belirtmesi ile AB hukuku ekseninde şirketler topluluğu hukukuna ilişkin çalışmalar yeniden hareketlenmiş ve gerek Komisyon’un oluşturduğu uzman grupları (ICLEG) gerek bağımsız akademisyenlerden oluşan topluluklar (FECG, ECLE, EMCA, CDJ) bu kapsamda çeşitli öneriler ileri sürmüşlerdir.
