Limits of party autonomy in determining the duration of the suretyship

Abstract

The provisions protecting the surety have a mandatory nature in Turkish Code of Obligations Nr. 6098 different than in the Code of Obligations Nr. 818. New Code substantially limits the freedom of contract between the creditor and the surety with regards to the content of the suretyship. It also intervenes the freedom of the parties to agree on a period for the suretyship. This article examines varying aspects of this period agreement, limitation of the period for real person sureties by Art. 598/III of Turkish Code of Obligations, influence of this limitation on other personal securities, restrictive effect of the period on the creditor's claim towards the surety, termination of the liability of the surety according to Art. 598/ IV and Art. 600, differing parts of Art. 600 from its former version in Art. 493 of the Code of Obligations Nr. 818, and finally the problematic of agreement upon a period extending to a level which creates the effect of a waiver of defenses in unlimited suretyship and strengthens the commitment of the surety despite the Art. 582/III stating that "Unless it is indicated otherwise by the Law, the surety is not allowed to waive the rights granted to him or her under this section in advance. / 6098 sayılı Türk Borçlar Kanunu'nun kefili koruyucu nitelikteki hükümleri 818 sayılı Borçlar Kanunu'ndan farklı olarak emredici bir niteliğe sahiptir. Bu durum alacaklı ve kefilin kefalet sözleşmesinin içeriğini belirlemek yönündeki irade özgürlüğünü önemli ölçüde sınırlandırmaktadır. Kanunun tarafların irade özgürlüğüne müdahalesi kefalet süresinin belirlenmesi bakımından da söz konusudur. Bu çalışma kapsamında kefalet sözleşmesinde süre anlaşmasının özellikleri, kefalet süresinin belirlenmesinde Türk Borçlar Kanunu'nun m. 598/III hükmünde gerçek kişiler bakımından öngörülen azami süre sınırlaması, bu sınırlamanın başka ad altında verilen kişisel teminatlara etkisi, kefalet süresinin m. 598/IV ve m. 600 hükümleri temelinde alacaklının kefile başvuru hakkını sınırlayıcı ve kefilin sorumluluğunu sonlandırıcı hukuki etkileri, bu çerçevede m. 600 hükmünün 818 sayılı Borçlar Kanunu m.493 hükmünden farklılaşan yönleri, son olarak "Kanundan aksi anlaşılmadıkça kefil, bu bölümde kendisine tanınan haklardan önceden feragat edemez" şeklindeki Türk Borçlar Kanunu m. 582/III hükmüne rağmen, kefalet süresinin, kefilin süreli olmayan kefalette sahip olduğu savunmalardan feragati etkisi doğuracak şekilde, kefilin aleyhine bir uzunlukta belirlenmesinin mümkün olup olmadığı sorunu incelenmektedir.
