Limited şirketlerde pay devri ve sınırlandırılması

Abstract

The transfer of the principal capital share in limited liability company, which is the most common type of company in Turkey, encompasses many concepts. The transfer of the principal capital share in a limited liability company, which is a capital company incorporating some features of a sole proprietorship, is regulated in Articles 595 of the Turkish Commercial Code numbered 6102. In this study, firstly, the concept of the principal capital share is examined, and the acquisition of the share as commitment transaction and disposal transaction, as stated in the article provision, is revealed. In addition, the statutory transfer cases and conditions specified in Article 596 of the Turkish Commercial Code have been examined in light of doctrine and Court of Cassation decisions.

Ülkemizdeki en yaygın tür olan limited şirketin, esas sermaye payının devredilmesi konusu içerisinde birçok kavramı barındırmaktadır. Bazı şahıs şirketi özelliklerini de içeren bir sermaye şirketi olan limited ortaklıklarda esas sermaye payının geçişi 6102 sayılı Türk Ticaret Kanunu'nun 595 vd. maddelerinde açıklanmıştır. Bu çalışmada, öncelikle esas sermaye pay kavramı incelenmiş ve madde hükmünde belirtilen taahhüt işlemi ve tasarruf işlemi olarak payın iktisabı konuları ortaya konmuştur. Buna ilaveten, TTK'nın 596. hükmünde belirtilen kanuni devir hâlleri ve koşulları öğreti ve Yargıtay kararları ışığında incelenmiştir.
