The foreign and domestic acquirer profiles in the 2005-2008 merger wave

Abstract

In this study, we provide an empirical analysis of the m&a activity that occured duringthe years 2005- 2008 with respect to both the deal characteristics and the financialcharacteristics of the acquiring firms. This period shows a clear break with respect to thenumber of deals that occurred (representing 38% of all activity that occured during 1988-2008) and also the deal volume generated (representing 73% of all deal value that occuredduring the last two decades). We first present the transaction characteristics and then thefinancial characteristics of the merging parties during this time. Next, we split thetransactions in which the acquiring firm is foreign or domestic and analyze the similaritiesand differences of the deal characteristics between these two groups. Finally, we compare thefinancial characteristics of both the acquiring and target firms that belong to these twogroups. / Bu çalışmada Türkiye´de son 20 yılda (1988- 2008) yapılan firma birleşmeleri vesatınalmaları içerisinde gerçekleşen birleşme sayısı olarak toplamın %38ini, birleşme değerleri açısından ise toplam değerin %73ünü oluşturan 2005- 2008 yıllarına hem işlemselözellik hem de alıcı firma profili açılarından bakılarak ampirik bir analiz yapılmıştır.Öncelikle bu dönemde gerçekleşen birleşmelerin işlemsel özellikleri ve bu işlemlere dahilolan firmaların finansal karakteristikleri sunulmuştur. Sonrasında ise işlemler yabancı veyerli alıcı firmaları içerenler olarak ikiye ayrılmış, bu satınalmalardaki işlemsel özellikler arasındaki benzerlik ve farklılıklar irdelenmiştir. Son olarak da bu iki gruba dahil olan işlemlerdeki alıcı ve hedef firma profilleri sunulmuş ve finansal karakteristiklerinde görülen farklılıklar üzerinde durulmuştur.
