Comparative analysis of the legal status of board members whose term of offıce has expired in the light of Turkish and Swiss court rulings and proposals in relation to the problems identified

Abstract

This article determines the legal status of directors whose term of office expires and who are not re-elected and provides solutions to various problems arising from this determination in the light of Turkish and Swiss case law. Swiss law has been chosen for comparison because of the parallelism between the provisions of the TCC and the OR. However, despite the similarities in the aforementioned provisions, it is noteworthy that the Turkish and Swiss courts and doctrine approach the issue from very different perspectives and therefore it is worthy of comparative analysis. The subject in question has been widely discussed in the Turkish academic and judicial agenda for many years, and valuable works have been published on it. On the other hand, this paper, based on the existing scientific accumulation, discusses the duties, powers and legal responsibilities of the persons who actually manage the company despite the expiry of the term and tries to find solutions to the problems that the adopted point of view will create for the representation of the company and the interests of other stakeholders./Bu makalede, görev süresi biten ve yeniden seçilmeyen yönetim kurulu üyelerinin hukuki durumları tespit edilmiş ve bu tespitin yaratacağı çeşitli sorunlara Türk ve İsviçre yargı kararları ışığında çözüm önerileri paylaşılmıştır. TTK ile OR hükümlerindeki parallelik nedeniyle karşılaştırma için İsviçre hukuku seçilmiştir. Ancak anılan hükümlerdeki benzerliklere rağmen, Türk ve İsviçre mahkemeleri ile öğretisinin konuyu çok farklı bakış açısıyla ele almaları dikkat çekicidir ve bu nedenle karşılaştırmalı analizi yapılmaya değerdir. Konu, Türk öğreti ve yargısını uzun yıllardır meşgul eden, üzerinde çokça tartışılan ve hakkında kıymetli eserler verilen bir konudur. Öte yandan bu çalışma ile mevcut bilimsel birikimden yararlanılarak, özellikle süresi bitmesine rağmen şirketi fiilen yöneten kişilerin görev, yetki ve hukuki sorumlulukları tartışılmış, benimsenen bakış açısının şirketin temsili ile diğer menfaat sahiplerinin menfaatleri için yaratacağı sorunlara çözüm bulunmaya çaba gösterilmiştir.
